These Terms and Conditions ("Terms") govern your use of the website at statutum.cyou ("Site") operated by Statutum Pte. Ltd. ("Statutum", "we", "us", "our"), and the contract lifecycle management operational consulting services we provide ("Services"). By accessing the Site or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Site or engage our Services.

1. Definitions

  • "Agreement" means the written engagement letter or scope confirmation issued by Statutum and accepted by the Client.
  • "Client" / "you" means the organisation or individual engaging Statutum's Services or using the Site.
  • "Deliverables" means written reports, process diagrams, runbooks, presentations and other materials produced as part of an engagement.
  • "Services" means contract operations consulting services including the Repository Audit, Workflow Redesign Engagement and Contract Operations Retainer.
  • "Site" means the website operated at statutum.cyou.

2. Acceptance of Terms

By using the Site or engaging our Services, you confirm that you are at least 18 years of age, have the capacity to enter a binding agreement, and are acting on behalf of yourself or an organisation you are duly authorised to represent. These Terms apply in addition to, and do not supersede, any written engagement agreement entered into between Statutum and a Client.

3. Services Description

Statutum provides operational consulting services in the area of contract lifecycle management. Our Services are advisory and operational in nature. They cover process design, repository management, tooling evaluation and ongoing operational support. Our Services do not constitute legal advice and do not include substantive review of the content, terms or enforceability of agreements. Where legal advice is required, Clients are referred to appropriately qualified legal practitioners.

Services are provided to business organisations operating in Singapore and the wider Asia-Pacific region. Individual engagement terms, scope, timelines and fees are set out in the engagement letter or scope confirmation issued per engagement.

4. Website Use

You may use the Site to learn about our Services, submit an enquiry and access published content. You agree not to:

  • Use the Site in any way that violates applicable Singapore or international laws or regulations
  • Attempt to gain unauthorised access to any part of the Site or its underlying systems
  • Transmit any material that is harmful, offensive, or violates any third-party rights
  • Use automated tools to scrape, copy or index the Site without written permission

5. Intellectual Property

All content on the Site — including text, design, structure, graphics, logos and methodologies — is the property of Statutum or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute or create derivative works from Site content without our prior written consent.

Deliverables produced in an engagement are licensed to the Client for internal operational use once payment for the relevant engagement is received in full. Statutum retains the underlying methodologies, frameworks and know-how used to produce Deliverables.

6. Fees and Payment

Published fees are in Singapore Dollars (SGD) and are inclusive of all applicable taxes unless otherwise stated. Payment terms, invoicing schedules and accepted methods are set out in the engagement letter. Late payment may result in suspension of engagement work. Fees paid are not refundable except where Statutum fails to deliver the agreed scope through our own default.

7. Confidentiality

Each party agrees to keep confidential the other party's non-public information disclosed in connection with an engagement. Mutual confidentiality terms are incorporated into each engagement letter. This obligation survives the conclusion of the engagement.

8. Disclaimers

The Site and its content are provided for informational purposes on an "as is" basis. While we make reasonable efforts to ensure accuracy, we do not warrant that the Site is error-free, uninterrupted or fit for any particular purpose.

Our Services are operational and advisory in nature. Outcomes described in engagement deliverables are recommendations based on the information available at the time; we cannot warrant specific operational results from the implementation of those recommendations.

9. Limitation of Liability

To the fullest extent permitted by Singapore law, Statutum's total liability for any claim arising from or related to an engagement or the Site shall not exceed the fees paid by the Client for the relevant engagement in the twelve months preceding the claim.

We are not liable for indirect, incidental, consequential or special damages, including loss of profits, loss of data or loss of business opportunity, even if we have been advised of the possibility of such damages. This limitation does not apply to liability for fraud or death or personal injury caused by our negligence.

10. Termination

Either party may terminate an engagement in accordance with the terms of the relevant engagement letter. We reserve the right to suspend or terminate access to the Site if we reasonably believe these Terms have been violated. Obligations relating to confidentiality, intellectual property and payment survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of Singapore. Any dispute arising from or in connection with these Terms or our Services shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be submitted to the non-exclusive jurisdiction of the Singapore courts, or referred to the Singapore Mediation Centre if both parties agree.

12. General

  • Entire agreement. These Terms, together with any engagement letter, constitute the entire agreement between the parties on the matters covered and supersede prior representations or understandings.
  • Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver. Failure to enforce any provision does not constitute waiver of the right to enforce it later.
  • Assignment. Clients may not assign obligations under these Terms without our prior written consent. Statutum may assign its rights to a successor entity.

13. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted on this page with its effective date. Continued use of the Site after changes are posted constitutes acceptance. Changes do not retroactively affect ongoing engagements governed by a signed engagement letter.
